Welcome to Byte Back! These Terms of Service ("Terms") govern your access to and use of our website, platform, and services (collectively, the "Services"). Please read these Terms carefully before using our Services.

1. Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organization or entity ("Organization"), then you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind the Organization to these Terms.

2. Description of Service

Byte Back provides a platform that allows users ("Users") to earn cashback rewards on their subscriptions with participating SaaS businesses and other service providers ("Partner Businesses"). We also provide a directory for Users to discover Partner Businesses. Partner Businesses can use our platform to offer cashback rewards to their customers to improve retention.

3. User Accounts

Eligibility: You must be at least 18 years old or the age of majority in your jurisdiction to create an account and use the Services.
Registration: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
Account Security: You are responsible for safeguarding your account password and for any activities or actions under your account. Byte Back cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.
User Payouts: To receive cashback payouts, Users must connect a valid Stripe Express account. Payouts are subject to Stripe's terms and conditions.

4. Business Accounts (Partner Businesses)

Onboarding: Partner Businesses must provide accurate business information and connect their Stripe account via Stripe Connect to participate in the platform.
Stripe Connect: By connecting your Stripe account, you agree to Stripe's Connected Account Agreement and other applicable Stripe terms. Byte Back will apply an application fee percentage to relevant subscriptions to cover the agreed cashback rate and our platform fee.
Responsibilities: Partner Businesses are responsible for maintaining their Stripe account, managing their customer subscriptions directly, and ensuring their service offerings are accurately represented.

5. Cashback Program

Earning Cashback: Users earn cashback based on the rates set by Partner Businesses and successful, continued payments for linked subscriptions.
Vesting Period: Cashback earned from a subscription payment typically becomes "Available" after the User's next successful payment for that same subscription is processed (one billing cycle vesting). This is to ensure continued loyalty.
Availability & Withdrawal: Available cashback can be withdrawn by Users to their connected Stripe Express account, subject to minimum withdrawal thresholds and processing times.
Limitations: Cashback is not guaranteed and may be subject to change or cancellation by Partner Businesses or Byte Back under certain conditions (e.g., subscription refunds, fraudulent activity, program termination). Byte Back is not responsible for changes in cashback rates offered by Partner Businesses.
No Cash Value Until Vested: Pending cashback has no cash value until it becomes "Available."

6. Linking Subscriptions

User Responsibility: Users are responsible for providing the correct email address associated with their SaaS subscription billing for verification purposes.
Verification: Byte Back uses email verification and Stripe API data to confirm active subscriptions. We do not access or store your passwords for third-party SaaS services.
No Alteration of Original Subscription: Linking a subscription through Byte Back does not alter your original subscription terms, pricing, or service access with the Partner Business.

7. Role of Stripe

Byte Back utilizes Stripe for payment processing, subscription tracking (for Partner Businesses via Stripe Connect), and cashback payouts (to Users via Stripe Express). By using our Services, you agree to comply with Stripe's applicable terms of service and privacy policies. Byte Back is not responsible for the performance, actions, or omissions of Stripe.

8. Acceptable Use

You agree not to use the Services for any unlawful purpose or in any way that interrupts, damages, or impairs the service. Prohibited activities include, but are not limited to: attempting to defraud the cashback system, using automated scripts to interact with the Services, or infringing on intellectual property rights.

9. Intellectual Property

The Services and all original content, features, and functionality are and will remain the exclusive property of Byte Back and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Byte Back.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Byte Back MAKES NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL Byte Back, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

12. Indemnification

You agree to defend, indemnify and hold harmless Byte Back and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

13. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the Services or contact us.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.
